These Terms and Conditions ("Terms") govern your use of the website creation and subscription services provided by visualsIA ("we," "us," or "the Company"). By making the subscription payment, you formally and legally agree to be bound by these Terms.
visualsIA provides an AI-powered website creation and maintenance service for small to medium businesses. The subscription fee covers:
Maintenance Scope Clarification: The subscription includes ongoing maintenance to ensure the website's functionality, security, and performance. This maintenance does not include a complete redesign or structural rebuild of the entire website. Should the client request a full redesign or significant structural changes, this will be treated as a new project or a major modification, requiring a separate quote and an extra payment determined by the scope of the client's wishes.
The subscription process is initiated by the client completing an extensive, eight-section form on the visualsIA website, which gathers all necessary information for the creation and design process. Before submitting the completed form, the client must proceed with the payment via Stripe. During this payment step, the client selects their preferred subscription term (monthly or annual) and currency from the available options: Euro (€), Pound Sterling (£), or Dollar ($). Upon successful completion of the payment, the detailed information from the form is automatically sent to visualsIA via WhatsApp to ensure a rapid response and immediate start of the project. The website creation process will then commence, and the final website will be delivered and deployed within a maximum of 3 to 6 business days.

The subscription price is fixed for the first year. After the initial 12-month period, visualsIA reserves the right to increase the annual subscription fee by up to 5% annually without prior notice.
Due to the digital nature of the service, which includes custom design, website creation, deployment, and ongoing maintenance, all subscription fees are non-refundable. The subscription fee remunerates the work involved in the initial setup and the continuous provision of the service.
All code, underlying technology, AI features, base templates, design framework, and infrastructure used to create and host the website remain the exclusive property of visualsIA. The client pays for a service subscription and access to the platform, not for ownership of the underlying software or code.
All content, text, images, logos, and data provided by the client for inclusion on the website remain the exclusive property of the client. The client grants visualsIA a worldwide, royalty-free license to use this content solely for the purpose of providing the service under these Terms.
Any content, text, images, or data created or generated by visualsIA (including AI-generated content) for the website, where not based on client-provided material, remains the exclusive property of visualsIA.
Code Purchase Option: The Client may, at any time, choose to purchase the full ownership of the website's underlying code. The fixed price for this purchase is €3,500 (three thousand five hundred Euros), VAT included. Upon full payment of this amount and the subsequent transfer of the code to the Client, the subscription will be immediately and automatically canceled, and visualsIA will cease to provide all associated services, including but not limited to hosting, maintenance, and technical support. The client assumes full responsibility for the website's operation and hosting from the moment of code transfer.
The client may cancel their subscription at any time. Cancellation will take effect at the end of the current billing cycle (month or year).
If the client cancels or fails to renew their subscription, the website will be immediately deactivated upon the expiration of the last paid subscription period.
Following deactivation, visualsIA will retain the client's website data and content for a grace period of 30 days after the end of the last paid subscription period. If the subscription is not reactivated within this grace period, all website data and content will be permanently deleted from our servers.
We provide priority technical support as part of the subscription. The guaranteed resolution time for issues is as follows:
visualsIA makes no guarantee regarding the continuous uptime or specific performance metrics of the website. While we strive to maintain high availability, the service is provided on an "as-is" and "as-available" basis.
visualsIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Madrid, Spain.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
